Lopodesk is a Customer Relationship Management (CRM) platform designed to help businesses manage their sales pipeline and customer relationships. The Service includes, but is not limited to:

• Lead Prospecting: Search and import business leads from Google Places API
• Pipeline Management: Organize leads across customizable pipelines and statuses using Kanban boards
• Automated Actions: Configure automatic actions (emails, reminders) triggered by status changes
• Video Conferencing: Native video meeting capabilities for client communications
• Email Management: Email templates and automated email sending
• Calendar Integration: Schedule appointments and set reminders
• Lead Scoring: Temperature-based lead qualification system
• Team Collaboration: Multi-user and multi-team workspace management

2.1 Eligibility

You must be at least 18 years old and capable of entering into a binding legal agreement to use our Service. By registering, you represent that you meet these requirements.

2.2 Account Information

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

2.3 Account Security

You must immediately notify Lopodesk of any unauthorized use of your account or any other breach of security. Lopodesk will not be liable for any loss or damage arising from your failure to protect your account credentials.

3.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree to use the Service solely for legitimate business purposes, including managing customer relationships, sales processes, and business communications.

3.2 Prohibited Activities

You agree NOT to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Send unsolicited bulk emails (spam) or engage in any form of email abuse
• Harvest, collect, or scrape data from the Service except through authorized API access
• Attempt to gain unauthorized access to any part of the Service or its related systems
• Use the Service to store or transmit malicious code, viruses, or harmful data
• Interfere with or disrupt the integrity or performance of the Service
• Impersonate any person or entity or misrepresent your affiliation
• Use automated scripts, bots, or other means to access the Service without authorization
• Resell, sublicense, or redistribute the Service without written consent
• Violate the privacy rights of any third party

3.3 Email and Communication Compliance

When using Lopodesk's email features, you agree to:

• Comply with all applicable anti-spam laws, including CAN-SPAM, GDPR, and other relevant regulations
• Only send emails to recipients who have consented to receive communications
• Include accurate sender information and a valid physical address in all emails
• Honor unsubscribe requests promptly (within 10 business days)
• Not use deceptive subject lines or misleading content

4.1 Your Data

You retain all rights to the data you upload, create, or store on the Service ("Your Data"). By using the Service, you grant Lopodesk a limited license to host, store, and process Your Data solely for the purpose of providing the Service.

4.2 Data Protection

We are committed to protecting your data. Our data handling practices are described in our Privacy Policy, which is incorporated into these Terms by reference. We implement industry-standard security measures to protect Your Data.

4.3 Third-Party Data

When importing leads or prospect data from third-party sources (such as Google Places), you acknowledge that:

• You are responsible for ensuring your use of such data complies with applicable laws
• Third-party data is subject to the terms and conditions of the respective data providers
• Lopodesk does not guarantee the accuracy or completeness of third-party data
• You will use third-party data only for legitimate business purposes

4.4 Data Retention

Upon termination of your account, we will retain Your Data for a reasonable period to allow you to export it. After this period, Your Data may be permanently deleted. You may request data export or deletion at any time.

The Service, including its original content, features, and functionality, is owned by Lopodesk and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.

"Lopodesk" and associated logos are trademarks of Lopodesk. You may not use these trademarks without our prior written consent.

The Service may integrate with or provide access to third-party services, including:

• Google Places API for lead prospecting
• Email delivery services (Resend)
• Video conferencing infrastructure
• Calendar services
• Payment processors

Your use of third-party services is subject to their respective terms of service and privacy policies. Lopodesk is not responsible for the availability, accuracy, or content of third-party services.

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are non-refundable unless otherwise specified
• You authorize us to charge your designated payment method for all applicable fees
• Failure to pay may result in suspension or termination of your account
• We may change our pricing at any time with at least 30 days advance notice
• All fees are exclusive of applicable taxes

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, emergency maintenance, or circumstances beyond our reasonable control.

We provide customer support through designated channels. Response times and support availability may vary based on your subscription plan.

To the maximum extent permitted by law, Lopodesk shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.

In no event shall Lopodesk's total liability exceed the amount you paid for the Service in the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless Lopodesk, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Service, your violation of these Terms, or your violation of any third-party rights.

Termination by You

You may terminate your account at any time by following the cancellation process in your account settings or by contacting support.

Termination by Lopodesk

We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent or illegal activity, or if required by law.

Effect of Termination

Upon termination, your right to access the Service immediately ceases. You may request export of Your Data within 30 days.

These Terms shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions.

Before initiating any formal dispute resolution, you agree to contact us first to attempt to resolve the dispute informally.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Paris, France.

• Entire Agreement: These Terms constitute the entire agreement between you and Lopodesk regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions shall continue in full force.
• Waiver: Our failure to enforce any right shall not constitute a waiver of such right.
• Assignment: You may not assign these Terms without our prior written consent.
• Notices: We may provide notices via email, in-app notifications, or by posting on the Service.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and sending an email to your registered email address.

Your continued use of the Service after such changes constitutes acceptance of the modified Terms.
